INTRODUCTION TO OUR COMPANY

Founders Developments is developing an exceptional Boutique Hotel & Private Members’ Club in Portland, Oregon’s prestigious Northwest Nob Hill neighborhood. The property will consist of a renovated exquisite National Registered Historic building, as well as an adjacent newly constructed 67 room boutique hotel, the buildings combined are designated to provide an exceptional hotel & social club experience.

The two buildings will create a dynamic combination of historic elegant old charm architecture with a modern twist. Originally built in 1909,the historic building was designed by famous architect Solon Spencer Beman. Beman was commissioned as the architect on several iconic buildings in the country and was inspired by Beaux Arts architecture and Goth Rival. The building is an inspirational landmark of exquisiteness, surrounded by an affluent urban neighborhood.

The Private Members’ Club will be located in the historic building and will contain a grand entrance, three full floors of high-end amenities, social rooms, gathering spaces, restaurants, bars, luxurious and pampering spa, gym, speak easy, concert & music, art & game rooms, co-working, library, penthouse rooftop destination event space and more. The club will be designed to foster an inclusive membership pool from the business, art, technology, entrepreneurs and influencers, and wil be available for the hotel guests use during their stay and restuarnats and bars for the public to enjoy.

The Portland region welcomed 11.9 million overnight person-trips [in 2022].

In addition to the preservation of the Historic structure, the project includes the construction of a new 5 story, 50,000 sf building at the SE corner of Flanders Blvd and 19th Streets, adjacent to the Historic building. The building will contain approximately 67 hotel guest keys and incorporates a stylish Café, restaurant and bar. The new building is designed as an architectural complement to the historic building and together the two buildings will create an extraordinary blend of elegant old charm with a delightful modern twist and a neighborhood feel surrounding it.

Minimum Investment: $100,000

We are offering Class C Units (the “Units”) issued by the Company for $1,000.00 per Unit. The minimum investment is $100,000.00 and we expect to raise $10,000,000 from this Offering.

Distributions

Class C Unit holders will be entitled to a cumulative, non-compounded return equal to fifteen percent (15%) per annum calculated on the unreturned balance of the Capital Contributions until a Refinancing Event or Capital Event at which point the entire accrued but unpaid Class C Preferred Return shall be due and payable to the Class C Members pro-rata pursuant to their Class C Percentage Interest. Prior to a Refinancing Event or Capital Event, Class C Members shall be entitled to receive annual distributions of fifty percent (50%) of the accrued and unpaid Class C Preferred Return (i.e. annual 7.5%) from distributions of Net Cash From Operations pro-rata pursuant to their Class C Percentage Interest.

Max takes great pride in tackling the ever-growing housing market and is currently in the process of bringing over 600 residential units to market and mixed use hospitality.

With a proven track record for making businesses expand under any circumstance, Mr. Gueron was brought on as Managing Partner for the company to expand its operation activity with his outstanding expertise.

Later, his knowledge and wealth of expertise enabled him to successfully lead the Marriott/Starwood integration as Managing Director. During this time he oversaw a wide array of activities, including hotel operations, organizational design, talent management, loyalty programs, system integration, financial management, and unit growth.

Peter was the CEO of Design Hotels, a highly curated portfolio of independent, design-driven hotels that function as social hubs and spaces for purposeful experiences. This time deepened Peter’s belief in the power of working through a community and of curating experiences, thus partnered with us at Sous La Rose.
